| Abstract/Description |
This is a petition by the Herald and Weekly Times Ltd for the winding up of Tivoli Freeholds Ltd (to which I shall refer as "Tivoli Freeholds" or "the company") on the ground that the affairs of that company are being conducted in a manner oppressive to one or more of the members of the company (including the petitioner) and on the further or alternative ground that it is just and equitable that the company should be wound up. After a number of adjournments, the matter came on for hearing on 1 December 1971 when all parties to the proceedings were represented by counsel and counsel for the petitioner and the supporting members announced that the parties had reached agreement, not only as to price, but as to the formula whereby, the means whereby, shares are to be acquired - a take-over bid - and that all that remained to be decided between them was the precise time-table of the take-over operation and that it was not anticipated there would be any difficulties in working that out. By consent, the matter was then adjourned sine die |
